Welcome to Watts Websites (“Watts Websites,” “we,” “our,” or “us”). These Terms of Service (“Terms”) govern your use of our website, hosting services, website design services, email hosting, maintenance services, and any related services we provide.
By purchasing or using any service provided by Watts Websites, you (“Client,” “you,” or “your”) agree to these Terms.
If you do not agree to these Terms, you may not use our services.
1. Services Provided
Watts Websites provides services including, but not limited to:
- Website design and development
- Website hosting
- Website maintenance and updates
- Domain management
- Email hosting
- Website migrations and transfers
- Technical support and consulting
Specific services, pricing, and project details may be agreed upon separately in writing, by invoice, or through direct communication.
2. Website Design & Development
Website projects are quoted individually based on the estimated scope, complexity, features, and time required to complete the project.
Unless otherwise agreed in writing:
- New website projects require a 50% non-refundable deposit before work begins.
- The remaining balance is due prior to launch or delivery of the completed website.
- Project pricing is based on the originally agreed scope of work.
- Additional features, revisions, or requests outside the original scope may require written approval or a separate change order.
Watts Websites reserves the right to pause work on any project if invoices become overdue.
Watts Websites is not bound by verbal agreements, informal discussions, or undocumented promises unless confirmed in writing.
2.1 Project Delays
Clients are responsible for providing necessary content, approvals, feedback, login credentials, and other required materials in a timely manner.
Delays caused by the Client may extend project timelines.
If a project remains inactive due to a lack of Client communication for more than 30 days, Watts Websites may pause or terminate the project.
3. Hosting Services
Watts Websites offers managed website hosting services.
Hosting services may include:
- Website server management
- Security updates
- Software and plugin updates
- Basic monitoring and maintenance
- Domain management
- Backup services
Hosting fees are agreed upon when service begins and may vary depending on the complexity or requirements of the website.
Unless otherwise agreed in writing:
- Hosting services are billed monthly.
- Hosting fees are non-refundable.
- Hosting rates remain unchanged for active hosting services unless otherwise agreed in writing.
Watts Websites does not guarantee compatibility with outdated browsers, unsupported devices, or third-party software environments.
3.1 Resource Usage
Hosting services are intended solely for legitimate website-related use.
Clients may not use hosting services for:
- File storage unrelated to website operations
- Illegal activity
- Malware distribution
- Spam or abusive activity
- Cryptocurrency mining
- Excessive resource usage that negatively impacts server stability
Watts Websites reserves the right to suspend services that negatively affect server performance or violate these Terms.
3.2 Acceptable Use
Clients may not use Watts Websites services for unlawful, abusive, harmful, fraudulent, or malicious purposes, including but not limited to spam distribution, phishing, malware hosting, copyright infringement, unauthorized access attempts, or activities that negatively impact server performance or security.
Watts Websites reserves the right to remove or disable content alleged to infringe intellectual property rights.
3.3 Security Emergencies
Watts Websites reserves the right to take immediate action, including disabling access, removing files, changing configurations, or temporarily suspending services, when reasonably necessary to address security threats, malware, abuse, or vulnerabilities that may affect the Client, server infrastructure, or other hosted services.
Clients agree to cooperate with reasonable security-related requests necessary to protect hosted systems and services.
Watts Websites does not guarantee the successful recovery, repair, or restoration of compromised, corrupted, or damaged websites or data.
4. Domain Names
Watts Websites may register, renew, or manage domain names on behalf of Clients.
Unless otherwise agreed:
- Domains costing under $20 per year may be included with hosting services.
- Domains remain subject to the policies and availability of third-party registrars.
- Clients are responsible for ensuring their domain registration information is accurate.
Domains managed by Watts Websites may be registered using registrar accounts controlled by Watts Websites or the Client, depending on operational requirements.
If hosting or services are terminated, domain ownership may be transferred to the Client upon request, provided all outstanding invoices have been paid.
4.1 Domain Renewals & Expiration
Domain renewals depend upon timely payment and successful processing through third-party registrars.
Watts Websites is not responsible for expired, suspended, lost, transferred, or deleted domain names resulting from:
- nonpayment,
- failed payment processing,
- outdated contact information,
- registrar issues,
- or failure to respond to renewal notices.
If services are suspended or terminated for nonpayment, associated domain renewals may also be discontinued.
5. Website Maintenance & Support
Hosted websites receive routine software and security updates as part of normal hosting services.
Clients may request content changes, edits, or maintenance work.
Unless otherwise agreed:
- Up to one hour of basic website updates per month is included with hosting services.
- Additional work is billed at the current hourly rate established by Watts Websites.
- Time spent on major redesigns, custom development, troubleshooting third-party systems, or emergency recovery work may be billed separately.
Included maintenance time does not roll over or accumulate between billing periods unless otherwise agreed in writing.
Clients are encouraged to maintain independent backups before requesting significant modifications or migrations.
Watts Websites does not guarantee response times, completion times, or uninterrupted availability.
Watts Websites does not guarantee immediate responses to emails, phone calls, or support requests.
Watts Websites does not guarantee search engine rankings, website traffic, lead generation, sales performance, or business outcomes.
6. Website Access
Clients may request administrative access to their website.
Clients are responsible for any actions taken through accounts provided to them, including modifications, installations, deletions, or security issues caused by third-party software or user activity.
Watts Websites reserves the right to restrict or revoke administrative access if necessary to protect server stability, security, or service integrity.
7. Email Hosting
Watts Websites may provide custom domain email hosting services.
Email hosting services may include:
- Mailbox hosting
- Webmail access
- Email forwarding
- Basic email configuration assistance
Unless otherwise agreed:
- Email hosting is billed per mailbox.
- Storage limits may apply.
- Email inboxes include a default storage allocation that may be increased upon request, subject to reasonable usage and system capacity.
- Email services are intended for legitimate business or personal communication only.
Clients may not use email services for:
- Spam
- Bulk unsolicited email
- Fraudulent activity
- Illegal content distribution
- Phishing or deceptive practices
Watts Websites reserves the right to suspend email services that violate these Terms or negatively impact server reputation.
8. Payments & Billing
Invoices are generally due within 14 days unless otherwise stated.
Watts Websites accepts payment methods approved by Watts Websites, which may include credit/debit cards, digital payment platforms, or other approved methods.
Watts Websites may store payment methods securely through third-party payment processors for recurring billing purposes.
Clients authorize Watts Websites to charge approved recurring invoices when automatic billing has been enabled.
Failure to pay invoices may result in:
- Service suspension
- Website downtime
- Removal of email services
- Termination of hosting services
- Additional collection efforts if necessary
Filing a fraudulent chargeback or payment dispute for legitimately provided services may result in immediate suspension or termination of services.
9. Refund Policy
Unless otherwise required by law or agreed in writing:
- Payments are non-refundable.
- Deposits for website projects are non-refundable.
- Hosting fees are non-refundable once services have been provided.
If Watts Websites determines that a service cannot reasonably be completed, a full or partial refund may be issued at our discretion.
10. Website Transfers
Clients may transfer their website to or from Watts Websites at any time, provided all outstanding balances have been paid.
Watts Websites may make reasonable efforts to assist with website transfers at our discretion.
Clients acknowledge that some websites rely on third-party licensed software, themes, plugins, fonts, stock images, or services that may not transfer with the website.
Upon transfer away from Watts Websites, Clients may become responsible for purchasing their own licenses for third-party services previously provided under Watts Websites accounts or subscriptions.
10.1 Security Review of Transferred Websites
Websites transferred to Watts Websites may contain pre-existing vulnerabilities, malware, malicious code, outdated software, configuration issues, spam content, or other security problems that were present prior to transfer.
Watts Websites does not guarantee the detection, identification, or successful removal of all pre-existing security issues during or after the transfer process.
If malware, spam activity, vulnerabilities, or other security risks are discovered, Watts Websites reserves the right to:
- suspend or isolate the affected website,
- remove malicious content,
- restrict functionality,
- require software updates,
- or recommend rebuilding portions of the website.
Security remediation, malware cleanup, forensic investigation, or restoration work may result in additional charges unless otherwise agreed in writing.
Watts Websites shall not be liable for damages, downtime, blacklisting, search engine penalties, lost data, or other consequences resulting from pre-existing compromises or vulnerabilities present prior to transfer.
11. Intellectual Property
Clients retain ownership of content they provide, including text, images, branding, and other original materials.
By providing content to Watts Websites, Clients represent and warrant that they have the legal right to use, reproduce, and publish that content.
Ownership rights to completed project deliverables transfer only upon full payment of all applicable invoices.
Watts Websites retains ownership of:
- Internal workflows
- Proprietary systems
- Custom tools
- Non-client-specific development assets
- Design methodologies
Third-party software, plugins, themes, fonts, images, and services remain subject to their respective licenses and terms.
12. Client Responsibilities
Clients agree to:
- Provide accurate information
- Maintain secure passwords
- Keep backups of important content when possible
- Comply with all applicable laws and regulations
- Avoid using services for illegal or abusive purposes
Clients are solely responsible for the legality and accuracy of all content published on their website or distributed through their email services.
Unless specifically agreed in writing, Watts Websites does not guarantee that websites comply with ADA, WCAG, or other accessibility standards or regulations.
12.1 Client Contact Information
Clients are responsible for maintaining accurate and current contact information, including email addresses, phone numbers, billing information, and authorized contact persons.
Watts Websites may rely on the most recent contact information provided by the Client for invoices, notices, approvals, security communications, renewal reminders, and other service-related communications.
Watts Websites is not responsible for missed communications resulting from outdated or inaccurate contact information provided by the Client.
Clients are responsible for promptly notifying Watts Websites of changes to ownership, management authority, or primary contact information.
13. Third-Party Services
Watts Websites relies on third-party providers and infrastructure, including but not limited to:
- Hosting providers
- Domain registrars
- Email providers
- Payment processors
- Software vendors
- Plugin developers
Certain features or functionality may depend on active third-party subscriptions or licenses maintained by Watts Websites or the Client.
Watts Websites is not responsible for outages, interruptions, security incidents, pricing changes, discontinued services, or other issues caused by third-party providers.
Third-party services are provided “as is” subject to the policies and availability of those providers.
14. Backups & Data Loss
Watts Websites may perform reasonable backup efforts as part of hosting services; however, backup systems and restoration availability are not guaranteed.
Clients are ultimately responsible for maintaining copies of important data and content.
Watts Websites shall not be liable for loss of data, corruption, accidental deletion, or restoration failures.
15. Ownership & Authority Disputes
In the event of a dispute regarding ownership, management authority, account control, website access, domain ownership, email administration, billing responsibility, or other administrative rights relating to a Client account or website, Watts Websites reserves the right to suspend administrative changes until the dispute has been resolved to our reasonable satisfaction.
Watts Websites may rely upon existing account contacts, signed agreements, prior communications, corporate filings, written authorizations, court orders, or other documentation deemed reasonably necessary to determine authorized representatives.
Watts Websites is not responsible for independently investigating business ownership disputes, internal management disagreements, partnership disputes, employment disputes, divorces, or similar conflicts between parties claiming authority over a website or account.
Watts Websites reserves the right to:
- refuse requested changes,
- restrict account access,
- maintain the status quo,
- require written authorization from all relevant parties,
- or require legal documentation before taking action.
Watts Websites shall not be liable for delays, restrictions, or actions taken in good faith while attempting to resolve disputed authority claims.
16. Disclaimer of Warranties
All services are provided “as is” and “as available” without warranties of any kind, express or implied.
Watts Websites does not guarantee:
- Continuous uptime
- Error-free operation
- Security against all threats
- Search engine rankings
- Business performance or outcomes
- Compatibility with all third-party software
To the maximum extent permitted by law, all implied warranties, including merchantability and fitness for a particular purpose, are disclaimed.
Watts Websites provides technical and creative services only and does not provide legal, financial, cybersecurity, or regulatory compliance advice.
17. Limitation of Liability
To the maximum extent permitted by law, Watts Websites shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including but not limited to:
- Loss of profits
- Loss of business
- Loss of data
- Business interruption
- Reputational harm
In all cases, the total liability of Watts Websites shall not exceed the total amount paid by the Client to Watts Websites during the three months preceding the event giving rise to the claim.
18. Indemnification
Clients agree to indemnify, defend, and hold harmless Watts Websites from and against any claims, damages, liabilities, costs, or expenses arising from:
- Client-provided content
- Client misuse of services
- Violations of law
- Intellectual property disputes
- Unauthorized or illegal website activity
19. Suspension & Termination
Watts Websites reserves the right to suspend or terminate services at any time for:
- Nonpayment
- Violations of these Terms
- Illegal activity
- Abuse of services
- Security threats
- Excessive resource usage
Where reasonably practical, Watts Websites may provide notice and an opportunity to cure violations before termination.
Clients may terminate services at any time by providing notice and paying all outstanding balances.
Termination of services does not relieve Clients of unpaid obligations incurred prior to termination.
19.1 Abandoned/Inactive Accounts
Accounts with unpaid balances or prolonged inactivity may be considered abandoned after reasonable notice attempts.
19.2 Data Retention After Termination
Following suspension, termination, cancellation, or nonpayment of services, Watts Websites may retain website files, backups, databases, emails, or related data for a limited period at our discretion. However, Watts Websites is not obligated to retain or preserve any data after services end and does not guarantee the availability or recoverability of terminated accounts or website files.
Clients are responsible for maintaining independent copies of important data prior to termination of services.
Restoration of terminated websites, accounts, or data may require payment of outstanding balances, restoration fees, or reactivation of services.
19.3 Right to Refuse Service
Watts Websites reserves the right to refuse service to anyone for lawful reasons and may decline projects at our discretion.
20. Governing Law
These Terms shall be governed and interpreted under the laws of the State of Wyoming, without regard to conflict of law principles.
Any disputes arising under these Terms shall be resolved in the appropriate courts located in Wyoming.
21. Entire Agreement
These Terms constitute the entire agreement between the parties relating to the services provided by Watts Websites and supersede prior discussions or understandings unless otherwise agreed in writing.
22. Survival
Any provisions of these Terms which by their nature should survive termination, including but not limited to payment obligations, intellectual property provisions, indemnification, and limitation of liability, shall survive termination of services.
23. Changes to These Terms
Watts Websites may update or modify these Terms at any time.
Updated versions will be posted on our website with a revised effective date.
Continued use of services after changes become effective constitutes acceptance of the updated Terms.
